TERMS & CONDITIONS of the contest
THIS CONTEST IS OPEN TO LEGAL RESIDENTS OF CANADA AND THE 48 CONTIGUOUS UNITED STATES AND THE DISTRICT OF COLUMBIA, 21 YEARS OR OLDER, AND SHALL BE CONSTRUCTED AND EVALUATED ACCORDING TO CANADIAN LAW. DO NOT ENTER THIS CONTEST IF YOU ARE NOT LOCATED IN THE 48 CONTIGUOUS UNITED STATES, THE DISTRICT OF COLUMBIA OR CANADA.

ELIGIBILITY: The Chef Alliance "Win your own Personal Chef for a Year" Contest (the "Contest") is open to all legal residents of the 48 contiguous United States, the District of Columbia and Canada, age 21 years of age or older, except employees, officers, directors, agents (and their immediate families [spouse, parent, child, sibling and their respective spouses] and household members [whether or not related]) of the Chef Alliance, and their respective parents, subsidiaries, divisions, trustees, franchisees, participating vendors, distributors, advertising and promotion agencies and affiliated entities (collectively, with the Sponsor, the "Contest Entities"). Void in Hawaii, Alaska, Puerto Rico, and wherever prohibited by law. This Contest is governed by Canadian law and subject to all applicable federal, provincial and local laws and regulations. By entering the Contest, entrants agree to accept and be bound by all terms of these Official Rules.
PRIZE/PRIZE CONDITIONS: Prize: One (1) Grand Prize Winner ("Grand Prize Winner") will receive a Personal Chef for One Year to prepare weekly meals for a family of 4.
The specifics of all aforementioned elements of the Grand Prize in the Contest shall be solely determined by Sponsor. All taxes and gratuities associated with acceptance and use of any element of any prize not specifically addressed above as being awarded are the sole responsibility of the prize winner. Prize winner must accept the Prize in accordance with its terms or prize may be forfeited and awarded to an alternate winner. The Prize cannot be transferred or substituted except at Sponsor's sole discretion. Sponsor reserves the right to substitute the prize, or portions thereof, with a prize of equal or greater value.
HOW TO ENTER: The Contest will begin at 9:00 a.m. Eastern Time ("ET") on January 1, 2009 and end at 5:00 p.m. ET on April 30, 2009 (the "Promotion Period"). To enter during the Promotion Period visit www.thechefalliance.com, complete the online entry form in its entirety, and submit. All entries must be received by 5:00 p.m. ET on April 30, 2009 to be eligible. Limit one (1) entry per person or e-mail address per day. All entries must be in English. Sponsor reserves the right in their sole discretion to disqualify any Submission if it is determined that the entrant has not complied with these Official Rules. Entries generated by script, macro or other automated means will be voided. The Contest Entities are not responsible for late, incomplete, or misdirected, entries, nor for Internet-related technical, hardware, or software failures of any kind, lost or unavailable network connections, or failed, incomplete, garbled or delayed computer transmissions or other errors or problems which may limit or affect a person's ability to participate in the Contest, whether human, mechanical, typographical, printing, electronic, network or otherwise, relating to or in connection with the Contest, including, without limitation, errors which may occur in connection with the administration of the Contest, the processing of entries, the announcement of the prizes or in any Contest-related materials. Proof of online submission is not considered proof of delivery or receipt. In the event of sabotage, acts of God, terrorism or threats thereof, computer virus or other events or causes beyond the Sponsor' control, which corrupt the integrity, administration, security or proper operation of the Contest, Sponsor reserves the right, in their sole discretion, to modify, cancel or suspend the Contest. In the event of cancellation, Sponsor reserves the right to select winners from among all eligible, non-suspect entries received prior to the event requiring such cancellation. False or deceptive entries or acts will render the entrant ineligible. Each entrant hereby acknowledges and agrees that the relationship between entrant and Sponsor is not a confidential, fiduciary, or other special relationship, and that entrant's decision to submit his/her entry to Sponsor for purposes of the Sweepstakes does not place Sponsor in a position that is any different from the position held by members of the general public with regard to elements of entrant's Submission. All entries become the property of Sponsor and will not be acknowledged or returned. By entering the Contest, the Contest agrees to receive promotion material from the Chef Alliance from time to time, subject to its Privacy Policy which can be bound on at www.thechefalliance.com.
HOW WINNER WILL BE DETERMINED: The Grand Prize Winner will be selected in a random drawing from among all eligible entries received on or about April 20,2009. Judge's decision with respect to winner and other matters pertaining to the Contest shall be final. The odds of winning will depend upon the number of eligible entries received.
GENERAL TERMS & CONDITIONS: The prospective Grand Prize Winner will be required to sign an Affidavit of Eligibility, Release of Liability and where allowable, a Publicity Release, and return same, properly executed, within three (3) days of issuance of prize notification. Such documents will be binding and effective upon signature, and shall encompass all Contest Entities. If Sponsor is unable to contact the prospective winner, if the prospective winner fails to complete and return all requested forms by the specified date, or if the prospective winner fails to comply with any of the requirements of these Official Rules, his/her prize will be forfeited and an alternate winner shall be selected. By entering the Contest, all entrants consent to the use of their name, photograph, likeness, biography, voice and/or video for advertising and promotional purposes, including online announcements, worldwide and without limitation and without additional compensation, except where prohibited by law.
In the event of a dispute as to the identity of an online winner based on an e-mail address, the winning entry will be declared made by the authorized account holder of the e-mail address submitted at time of entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider, or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.
CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY'S FEES) FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.
The Contest Entities expressly disclaim any responsibility for, and entrants agree to indemnify and hold harmless the Sweepstakes Entities from, any and all claims, actions, demands and/or liability for injury, damage or loss whatsoever relating to or arising in connection with participation in this Contest (regardless of the cause of such injury, damage or loss) and/or the delivery and/or subsequent use or misuse of any portions of the prize awarded.
